1. Overview
VertexHub ("we," "us," "our") builds custom mobile apps and AI Call Agents for service businesses across the United States. By engaging our services or using our website at vertexhub.app, you ("Client") agree to be bound by the following Terms of Service and Privacy Policy.
These terms govern all service engagements between VertexHub and its clients. If you do not agree to these terms, do not proceed with an engagement or use our website.
2. Services
VertexHub provides custom-built mobile applications and AI Call Agent systems for service businesses including, but not limited to, HVAC companies, plumbers, electricians, roofers, and landscapers.
Each engagement results in a system built specifically for the Client's business — including the Client's branding, service types, workflow, and phone number. This is not a subscription to a shared SaaS platform. The system is configured and deployed for the Client exclusively.
Deliverables include:
- A custom mobile app accessible on iOS and Android
- An AI Call Agent deployed on the Client's existing business phone number via call forwarding
- Lead capture and logging integrated into the mobile app
- Ongoing hosting, maintenance, and support for the duration of the monthly subscription
3. Payment Terms
Setup fee: A one-time setup fee of $2,800 is due prior to commencement of the build. Work begins only upon receipt of this payment.
Monthly subscription: $499 per month, billed on the same date each month following the go-live date. The subscription covers hosting, AI Call Agent infrastructure, feature updates, and priority support.
Invoicing: Invoices are issued via email to the billing contact provided at engagement. Payment is due within 7 days of invoice date.
Late payment: Accounts more than 14 days past due may have service suspended until payment is received. VertexHub reserves the right to terminate the engagement after 30 days of non-payment.
4. Delivery & Timeline
The standard delivery window is under two weeks from the date of the signed agreement and receipt of the setup fee, provided the Client supplies all required business information promptly.
Required information includes: business name, service types offered, branding assets (logo, preferred colors), and call forwarding setup on the Client's existing phone number.
VertexHub is not responsible for delays caused by the Client's failure to provide required information in a timely manner. The delivery window will extend accordingly.
5. Cancellation & Refund Policy
Monthly subscription: The Client may cancel the monthly subscription at any time by providing written notice to hello@vertexhub.app. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued.
Setup fee: The setup fee is non-refundable once build work has commenced. If a Client cancels prior to commencement of work, a refund may be issued at VertexHub's discretion.
Termination by VertexHub: VertexHub may terminate service with 30 days' written notice for any reason, or immediately in the event of material breach of these terms by the Client. In the event of termination by VertexHub without cause, any prepaid monthly subscription fees for unused future periods will be refunded.
6. Intellectual Property
Client ownership: The Client retains full ownership of their business name, branding, logo, and all business data (customer records, call logs, job history) generated through use of the system.
VertexHub ownership: VertexHub retains ownership of the underlying platform architecture, AI Call Agent infrastructure, and any proprietary code not specific to the Client's individual branding and configuration. The Client receives a license to use the system for the duration of their active subscription.
Restrictions: The Client may not resell, sublicense, reverse-engineer, or transfer the system or any component of it to any third party without prior written consent from VertexHub.
7. Privacy Policy
Information We Collect
We collect information in the following contexts:
- Website visitors: IP address, browser type and version, pages visited, time on site, and referral source — logged automatically by our servers and analytics tools.
- Prospective and active clients: Name, business name, email address, phone number, and business information provided during the sales and onboarding process.
- AI Call Agent: Call recordings and transcripts from inbound calls handled by the AI Call Agent on behalf of the Client. This data is processed and stored to populate the Client's lead log. Callers to the Client's number are subject to the Client's own disclosures regarding call recording.
How We Use Your Information
- To build, configure, and operate the custom system for each Client
- To provide customer support and respond to inquiries
- To send service-related communications (invoices, update notices, support responses)
- To improve our platform through aggregated, anonymized analytics
- To comply with applicable legal obligations
We do not sell personal information to third parties. We do not use Client or caller data for advertising purposes unrelated to the Client's service.
Third-Party Service Providers
We use the following categories of third-party providers to operate our service:
- Cloud hosting and infrastructure providers
- Telephony and AI voice infrastructure providers (to power the AI Call Agent)
- Analytics platforms (Google Analytics — for website usage data)
- Payment processors (for billing and invoicing)
These providers access data only as necessary to perform their services and are required to maintain appropriate confidentiality and security standards.
Cookies
Our website uses cookies set by Google Analytics to understand how visitors use our site. These cookies do not collect personally identifiable information. You may disable cookies in your browser settings; doing so will not affect your ability to use our website.
Data Retention
We retain Client and engagement data for the duration of the active engagement and for a reasonable period thereafter (typically 12 months) for support and compliance purposes. Call recordings and transcripts are retained for the period specified in the Client's configuration. You may request deletion of your data by contacting us at hello@vertexhub.app.
Your Rights
You have the right to request access to, correction of, or deletion of personal information we hold about you. To make a request, contact us at hello@vertexhub.app. We will respond within a reasonable timeframe and in accordance with applicable law.
Data Security
We protect personal information using commercially reasonable security measures. No method of electronic transmission or storage is 100% secure. We will notify affected parties of any data breach in accordance with applicable law.
8. Limitation of Liability
To the maximum extent permitted by applicable law, VertexHub's total liability to the Client for any claim arising from these terms or the services provided shall not exceed the total fees paid by the Client to VertexHub in the three months preceding the claim.
VertexHub is not liable for any indirect, incidental, special, or consequential damages, including loss of revenue, loss of customers, or business interruption, arising from use of or inability to use the service.
AI Call Agent performance is dependent on factors outside VertexHub's control, including carrier call quality, caller behavior, and network conditions. VertexHub does not guarantee any specific call answer rate, lead capture rate, or revenue outcome.
9. Changes to These Terms
VertexHub may update these terms at any time. Changes will be posted at this URL with an updated effective date. Continued use of our services following any change constitutes acceptance of the revised terms. If a material change affects your rights or obligations, we will notify active Clients by email.
10. Governing Law
These terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in New York, New York.
